Agmt Verbatim · Draft legal document
Terms of service
Service description for review
Agmt Verbatim is designed to convert Word (.docx) agreements into structured output, including clause structure, numbering, tracked changes, comments, defined terms, and cross-references. The owner and counsel must approve the description of the service and its permitted uses.
Output is generated from the submitted document. These draft terms do not promise that output is complete, correct, legally sufficient, or suitable for any particular decision. Counsel should determine the appropriate product limitations and customer responsibilities.
Document handling
The current product design specifies that document plaintext is parsed in memory and is not written to application logs or databases. Optional browser uploads are stored as encrypted ciphertext; access ends after 15 minutes. Physical deletion is asynchronous, and no deletion deadline is verified for this deployment.
These statements describe the current specification and are subject to deployment and operational review. They do not promise that uploaded ciphertext is physically deleted at the end of the 15-minute access period. See the privacy notice draft for the specified metadata categories and subprocessors.
Terms counsel and the owner must settle
- [Identify the contracting entity, customer eligibility, account rules, and accepted-use restrictions.]
- [Approve API key security, quotas, service availability, support, suspension, and termination terms.]
- [Confirm pricing, billing, taxes, refunds, and any free-tier conditions before describing them as commitments.]
- [Resolve ownership and license terms for customer materials, generated output, the SDKs, schema, and engine.]
- [Draft warranties, disclaimers, liability allocation, indemnities, governing law, dispute process, and order-of-precedence terms.]
- [Set the effective date, notice method, amendment process, and any required consumer or statutory disclosures.]
None of the bracketed topics is settled by this page.
Data processing terms
Where the customer acts as controller and Agmt acts as processor, the parties will need an approved data processing agreement. The DPA draft is incomplete and is not incorporated into an agreement by this link.
